  全国国资监管政策法规暨指导监督工作座谈会近日召开。国务院国资委副主任黄淑和表示,目前,政企不分、政资不分现象在一些地区和部门仍比较突出,推动经营性国有资产集中统一监管的难度还不小,全国国有资产基础管理工作也亟待从立法上统一规范。


  国资委召开本次座谈会的目的在于总结政策法规和指导监督工作情况,分析当前面临的新形势和新挑战,研究部署下一阶段工作总体思路和重点任务。黄淑和说,5年多来,各地国资委紧密围绕国资国企改革发展大局,切实加强政策法规工作,勇于开拓,锐意进取,取得了新的进展和成效。这些进展和成效体现在:


  截至今年6月底,国务院国资委制定的现行有效规章27件、规范性文件297件,全国各省区/市共出台地方国资监管法规、规章和规范性文件3400多件,立法工作迈出新步伐。5年来,各地国资委根据出资人机构行权履责的新情况、新特点,不断拓展法律审核的广度和深度,着力加强机关法律风险防范。


  据初步统计,全国省级国资委监管的906户出资企业中,设置法律事务机构的有732户,占81%;建立总法律顾问制度的有478户,占53%。建立重要规章制度、经营决策和经济合同法律审核制度的比例,分别为80%、94%和85%。


  不过,在肯定成绩的同时,黄淑和也强调“我们的工作仍然存在一些不足和薄弱环节”。这包括:一是部分地方国资委政策法规工作站位不够高、定位不够准、作用发挥不够充分,个别地方还出现了政策法规工作职责被分散化的现象;二是地方国资监管立法工作的规划、协调力度仍然不够,重点立法推进能力需要提高,有关法规制定与执行“两张皮”现象仍不容忽视;三是指导推动省属国有企业法制工作进展还不平衡,有些地方的工作推进乏力,有些地方还存在畏难情绪。


  除了“内功”还有欠缺外,当前,国内外复杂的经济形势,也令国资监管政策法规工作面临新的机遇和挑战。黄淑和分析说,从国际上看,世界经济处于深度调整期,西方国家通过重构国际经济秩序和经贸规则,力图抢占新一轮全球竞争的制高点。从国内来看,随着依法治国方略的深入实施,社会主义市场经济法律制度不断健全完善,各类企业都要适应准入放宽、监管从严、责任更重的立法趋势要求。与此同时,国有企业自身的改革调整已经进入“深水区”,建立健全现代企业制度,完善法人治理结构,提高国有资本运营效率,亟须从政策法律层面寻求新的突破。


  在这种情况下,黄淑和认为,除积极推进国资监管综合性立法,继续建议修改完善《企业国有资产法》有关条款,加快起草《企业国有资产法》的配套行政法规外,要深入总结10年来国资监管的经验做法,及时修订完善投资规划、业绩考核、产权管理、薪酬分配等领域的规范性文件。进一步规范监管方式和手段,探索分类监管,健全完善责任追究制度,提升国资监管效能。着力加强推行公有制多种实现形式、健全现代企业制度、规范董事会建设等方面的立法。要使各项制度设计更加有利于企业加强自主创新,实现转型升级和科学发展。


  他强调要宣传好“三句话”:“政企分开、政资分开和政府职能转变,这三句话对完善国有资产监管体制至关重要。当前国资改革不顺畅,很大程度上就在于政企分开、政资分开不到位,就在于政府职能转变不到位。要坚持好、宣传好这三句话,进一步推动国资监管体制的改革和完善。”(记者 董伟)
