央广网北京12月29日消息（记者沈静文）据中国之声《央广新闻》报道，十二届全国人大常委会第六次会议昨天（28日）审议通过了关于修改公司法的决定，这意味着，“1元可办公司”由试点变为法律，工商登记制度改革扫除最大法律障碍。
这次公司法修改主要涉及三个方面，第一是将注册资本实缴登记制改为认缴登记制。也就是说，除了另有规定的情况之外，取消了关于公司股东应当在公司成立之后两年内缴足出资，投资公司可以在五年内缴足出资的规定，取消了一人有限公司的股东应当一次足额缴纳出资的规定，公司股东可以自主约定认缴出资额、出租方式、出资期限等，并记载于公司的章程。
第二是我们通常所说的“一元钱办公司”，公司法放宽了注册资本登记条件，除了法律行政法规以及国务院决定对公司注册资本最低限额另有规定的情况之外，取消了有限责任公司最低注册资本三万元，一人有限责任公司最低注册资本10万元，股份有限公司最低注册资本500万元的限制。不再限制公司设立时股东的首次出资比例，也不再限制股东的货币出资比例。
第三是简化登记事项和登记文件，有限责任公司股东认缴出资额、公司实收资本不再是公司的登记事项。公司登记的时候不需要提交验资报告。
这些修改进一步降低了公司设立门槛，减轻了投资者负担，便利了公司准入。下一步工商总局还将修订完善相关的行政法规和规章，构建市场主体信用信息公示体系，加强人员培训，完善文书格式规范和登记管理信息化系统，为明年三月注册资本登记改革全面推开做好准备。
