  日前召开的重庆国资工作会议也预示着改革的方向。


  2014年,重庆将推出首期总额约2000亿元的近100个国有资本项目向社会资本开放;计划改组或组建两家国有资本投资公司(运营公司)。


  1月19日,重庆市市长黄奇帆在重庆市四届人大二次会议上作政府工作报告时表示,重庆将推动国资监管由管资产向管资本转变,实施分类监管、分类考核、分类指导;支持有条件的国有企业改组为国有资本投资运营公司;加快国有企业整体上市步伐,鼓励各类资本参与国有企业改革,大力发展混合所有制经济。

  消息人士告诉《第一财经日报》记者,重庆国资改革方案第一稿,黄奇帆并不满意,被退回修改,目前第二稿修改正在征求意见,基本接近尾声,将于近期公布。该人士称,重庆国资改革方案会参照“上海国资国企改革20条”,同时预计有所创新和突破。


  黄奇帆在重庆工作了十几年,主导重庆的国企改革,被称为“上海对重庆最大的支援”。在他看来,在新形势下,重庆国企改革的核心和重点,就是资本的重组,就是要建立企业资本的市场化补充机制,形成生生不息的资本循环。


  去年10月,《国企》杂志上发表了黄奇帆的署名文章《国企改革的核心是市场化资本补充机制》。


  黄奇帆认为,市场化方式补充国有企业资本金,既降低了企业负债率,实现了可持续发展,也通过多元化的股份制合作,完善了企业的法人治理结构,建立了现代企业制度,符合国际化和市场化的发展趋势。


  他提出了国资三大改革方向,即坚定不移地坚持基本经济制度、国企的有效组织形式是混合所有制、国企管理的核心是资本管理。改革重点是控制债务、补充资本,具体通过企业留存利润、股票上市、私募基金、股权转让等市场化方式进行补充。


  根据这一思路,重庆国资改革的具体路径就是:第一,推动国企整体上市;第二,组建投资运营公司;第三,未上市国企发展多元化股份公司;第四,退出竞争性行业,“套现”设立产业投资基金;第五,推动公共产品价格逐步市场化,引入非公经济。

  前述消息人士称,绝大多数将发展成混合所有制,未来比例将提高到90%以上。重庆市国资委还将试点推动企业集团的股权多元化改革,力争今年有2~3户国有企业取得实质性突破。


  黄奇帆认为,国有企业集团的二级、三级公司差不多都已经混合了,但是企业集团的母公司绝大多数还是国有独资。这将出现一批准官僚衙门,也是国有经济改革过程中“半生不熟”的状态,是上一轮改革留下的尾巴。


  他在接受媒体采访时表示,十八届三中全会把“革命”革到了这个层面。这次提出的混合所有制,不是止步于二级、三级公司层面的混合,而是国资委直属的集团公司也要混合,要在集团公司层面搞混合所有制,要害在这里,这是改革的关键所在。


  另外,重庆市今年将选择条件成熟的两家国有企业,进行改组或组建国有资本投资公司试点。按照黄奇帆的想法,要打造成巴菲特式、淡马锡式,或是中投式的投资公司。


  重庆渝富资产经营管理集团有限公司(下称“渝富集团”)和重庆地产集团已被黄奇帆点名。


  渝富集团成立于2004年,是由重庆市国资委设立的国有独资综合性资产经营管理有限公司。当初主要是处置不良债务,经过10年的发展,已经成为全国资本运作的典范。


  按照黄奇帆向《财经国家周刊》介绍,5~10年后,重庆40来个国企集团会调整到约30个,有20多个国企集团整体上市,两个国有独资的投资公司,还有几个国有独资的产业母基金。国资委作为20多个上市公司的股权持有者,以股东身份在董事会中发挥作用,当然也不宜再采取目前这种管理模式。
