首先从兼并重组来说，金融方面融资渠道是很重要的内容，现在我国并购贷款期限较短，使用条件较严，并购贷款支持力度也非常有限，同时兼并重组的支付方式和融资渠道也较为单一，并购融资之中直接融资比重较低，资本市场支持兼并重组的作用还没有充分发挥。
因此，工信部内部人士透露，意见提出首先会加强信贷融资支持，引导商业银行在风险可控的前提下，积极稳妥地开展并购贷款业务，同时将推动商业银行对兼并重组实行综合授信，改善对企业的兼并重组的信贷服务。此外，将充分发挥资本市场的作用，支持符合条件的企业通过发行股票、短期融资券、中期票据、非公开定向债务融资工具等金融企业的债务融资工具，可转换债券等方式进行融资。
同时，会允许符合条件的企业发行优先股定向发行可转换债券作为兼并重组的支付方式，对上市公司发行股份实行兼并事项取消发行的最低数量限制，不再强制要求做出业绩承诺，由公司自主决策。同时会改革上市公司兼并重组的股份定查机制，非上市公众公司兼并重组不实施全面邀约收购制度，允许实行股份的协商定价。

而在今年1月，飞鹤乳业也发布消息称，他们公司已与吉林艾蓓特乳业达成协议，将全面收购艾蓓特，这项交易被称为是2014年国内乳制品行业首例企业并购案。
对于现代乳企的动作频繁，像乳业专家王丁棉表示，这些动作都跟工信部推动乳企兼并重组的两点要求有关，首先要求128家乳企通过兼并重组等方式，在若干年内减少至50家左右，同时要求各个乳企要有稳定可控的奶源，这意味着兼并重组方案很快就会和大家见面。
而乳业专家宋亮说，从蒙牛并购雅士利开始，其实乳制品行业一直在酝酿着并购重组的大潮，不过更多企业还处于观望状态，等待着相关政策的出台。现在随着政策各种信号不断浮出水面，应该说企业兼并重组的积极性在不断增加。
