现状：所有员工已被解聘
位于北京万泉河路紫金大厦6层的中科红旗北京总部大门紧锁、人去楼空，门口贴着一张发布于2月10日的公告。
该公告称，因北京中科红旗软件技术有限公司经营发生严重困难，董事会于2013年12月13日决议从即日起解散公司，并成立清算委员会依法对公司进行清算。2014年1月22日，已成立了清算工作组，具体负责和开展相关清算工作。
“因发生上述重大变化，致使公司与全体员工的劳动合同无法继续履行，现公司敬告全体员工即日起终止劳动合同。”这一公告意味着，这家曾被寄予厚望的国产操作系统厂商，开始进入了14年历史的最后倒计时。
根据公开资料，中科红旗成立于2000年6月，是由中科院软件所全资企业科软创新与北京赛迪等8家股东联合投资设立的中外合资企业，其中科软创新占股40.5%，为第一大股东。中科红旗在成立后，被赋予“中国必须拥有自主软件操作系统”的历史使命，一度给梦想拥有自己操作系统的国内业界带来一丝希望，其推出的红旗Linux操作系统在国内外具备一定的影响力，截至目前仍拥有大量用户。
“软件所有国内最强大的技术实力，当时还引进了外企的管理体制，更为重要的是，国产操作系统符合国家信息战略的发展需要。公司应该可以具备非常强势的市场地位。”一名中科红旗的老员工告诉记者，公司最终走到今天的地步，实在值得决策层和有关方面反思。
据悉，中科红旗成立后，在政府优先采购国产软件政策的支持下，中科红旗一度成为政府采购的主力，获得诸多国企和政府的订单，而在保护知识产权的背景下，监管部门规定上市电脑必须装有操作系统，为降低成本，联想、惠普等公司的电脑都曾预装红旗的系统。(不过，一些购买了预装红旗系统电脑的用户，往往回家就卸掉红旗，装上盗版Windows系统。)
追访：员工、资方各执一词
事实上，中科红旗爆发生存危机至少可以追溯到近一年前。一名中科红旗的员工回忆，去年4月的一天，该公司的百名员工被召集开会，公司总裁贾栋在会上称，由于公司的资金链出现问题，当月工资无法如期发放。
这仅仅只是这场危机的序幕。从那时至今的近一年时间里，员工们的工资一直没有发放。尽管有部分员工陆续离去，但多数员工仍然坚持在公司上班。到了去年底，位于紫金大厦的办公场地由于长期拖欠物业租金等问题而被停水停电，最终只能关门。
在这个过程中，被欠薪的员工们开始维权，他们把矛头对准了大股东——中科院软件所，甚至一度拉着“软件所还我核高基专项款，大股东无视员工死活”的横幅到中国科学院和工信部请愿讨薪。
这份请愿书中称：“为了核高基项目的顺利完成，中科红旗预支了本当用于后续公司发展的储备资金及员工薪资预算，以此弥补了课题资金缺口，由此直接导致了中科红旗在2013年3月开始出现资金链匮乏，直至彻底断裂。”
但中科院软件所随后发布的《关于中科红旗情况的声明》则否认了这一情况，认为中科红旗是因为自身经营的问题导致现状。
双方争执的焦点——“核高基”是国家科技重大专项“核心电子器件、高端通用芯片及基础软件产品”的简称，主要目标是在芯片、软件、电子器件领域，攻克一批关键技术、研发一批战略核心产品。在2010年的“核高基”重大专项竞标中，中科红旗曾牵头承担了“通用桌面操作系统研发及产业化”主要课题。
按照国家“核高基”重大专项的规定，政府在下拨课题支持资金时，企业和地方政府也需要配套相应的资金。员工们认为，正是因为中科院软件所未能履行当初足额补齐资金的承诺，才导致中科红旗走向关门。
不过，中科院软件所发布的声明中回应，配套资金未能到位的原因是中科红旗单方面退出，中科红旗遭遇困境主要是因为管理团队经营不善，与“核高基”配套资金并没有关系。2009年，软件所曾联合中科红旗、中科方德，成立了“核高基”项目总体部，旨在统一调配人员资源，统筹解决配套资金等，但是中科红旗2010年退出总体部。软件所认为，为中科红旗配套资金的前提条件不复存在，因此也没有必要为其配套资金。
疑问：谁“击倒”了中科红旗？
对于中科红旗何以走到今天的地步？一名不愿透露姓名的中科红旗员工表示：“不能仅以一句‘经营不善’就能简单概括，其必然还有更多深层次的原因。管理层是否有战略上的问题？是否有人有贪腐行为？普通员工是否有过错？资方是否尽到了应尽的责任？一系列的原因导致了现状。”
中科院软件所在声明中认为，公司经营一直很困难，近十年来时间需要依靠第一大股东中科院软件所额外的输血支持，但该公司部分员工对此否认，认为公司近年一直处于盈利状态，且客户规模在扩大。
有业内人士据此怀疑：“盈利来自市场还是来自政府扶持，公司自身造血能力如何？如果公司的确盈利状况良好，对于董事会来说，谁会跟钱过不去？”
软件所旗下的另一家公司中科方德也屡被员工提起。由于后成立的中科方德是软件所下属项目法人单位，而中科红旗拥有8个股东，因此员工认为软件所对于“亲生”和“抱养”的孩子厚此薄彼。
中科红旗股东之间意见不一致所导致的决策效率低下，则被认为是中科红旗目前问题的症结所在。由于公司章程规定合资各方的董事对公司重大事项都有一票“否决权”，多项意在改善公司治理结构的议案均因上述原因而无法得到贯彻执行。讽刺的是，同意解散公司、进入清算程序，是该公司股东之间14年来唯一意见一致的公告。
另外，公司创始人、原中科院软件所副所长孙玉芳2005年的因病去世，也被认为公司在争取产业资源、与大股东沟通等方面失去了支撑，以致成了“没娘的孩子”。有高层认为，如果中科红旗当时能按孙玉芳当年规划的道路走下去，中科红旗可能赢来转机。
上述IT人士还认为，除企业自身原因外，外部环境的发展变化也是击倒中科红旗的重要力量。在云计算模式的蓬勃发展下，传统的软件销售模式已岌岌可危，就连微软都开始要考虑生存问题，更何况中科红旗？
后续：能否“死里逃生”依然未卜
“首先得澄清下，中科红旗现在并不是已经倒闭了，也不是破产了，目前是进入清算程序。”昨日，中科红旗清算工作组的一名成员告诉记者，今后这家公司是不是会被注销，或者是否有新的团队接手，红旗这个品牌是否还会存在，目前还会有一定的变数。
据透露，尽管有公司有意接手中科红旗的相关资产，但是尚没有企业对此进行实质性谈判，“红旗”是否就此倒下依然前途未卜。
而对于近百名从去年4月至今被欠薪的中科红旗前员工来说，讨回工资成为了他们目前最为关心的实际问题。“欠薪达上千万，如果能够按照《劳动合同法》来执行，工资和补偿等全部加起来，可能涉及到的金额大概在小两千万。”一名参与维权的中科红旗前员工表示。
该人士透露，尽管已经很久没有拿到工资，但由于仍然有客户在使用红旗的操作系统，包括公司的产品销售、客户服务等部门的一些员工仍然在工作。此前，维权员工已向海淀法院申请劳动仲裁，法院年初做出了有利于员工们的仲裁，也已经查封了中科红旗的商标、软件著作权。
不过，此事最终如何收场，员工是否能够拿到应得的钱，还需要进一步等待。
“作为公司的老员工，我认为我们的技术实力仍在，产品已经很成熟，市场前景也不成问题。”上述人士希望，“中科红旗”不能就此轻易倒下，否则将不但会影响目前仍在使用红旗操作系统的客户的利益，也会影响到国家整体的信息安全。
财经观察：国产软件能否再扛红旗？
在软件行业追求国产化浪潮、政策红利逐步释放的大背景下，曾经扛起“国产操作系统”大旗的中科红旗进入清算程序的消息传来，显得突兀而不合时宜。
有业内人士表示，国内的软件厂商在应用型软件领域目前已有不错表现，但像操作系统等基础软件行业，国内厂商的基础太薄弱，技术实力、市场竞争力仍远远无法与国外巨头相提并论。
尽管红旗的Linux曾经多年占据国产操作系统市场占有率的第一名，但其从诞生开始更多是计划产物而非市场行为，它的出现更多被赋予国家信息安全等方面的政治意义，因此需在国家资金支持下生存，更多依靠政府采购，或者邮政系统、国有商业银行等少数大客户，缺乏市场扩张能力，在未全面参与市场竞争的情况下，一旦断奶就会在面对竞争时无所适从。
一名IT业人士认为，尽管国内基础软件领域仍然会有政府的政策红利支持，但在目前情况下，将相关基础软件公司推入市场竞争将会出现大量亏损。国产软件能否再度扛起“红旗”？该人士认为，让国内基础软件厂商扛起操作系统国产化的红旗并不现实。
