对于此次收购,业界也有质疑声出现。在移动互联网时代,许多行业开始向“轻资产”转化,而联想接连大手笔收购IT巨头主动剥离的制造资产。在迅速提高联想相关产品在全球市场份额的同时,联想也将面对更艰难的文化整合,以及未来沉重的制造业负担。

“过去两年,PC+产品主要依赖自生式增长。通过并购这种外延式增长,智能手机有望在短期内进入美国等发达地区市场,迅速成为全球的运营者及领导者。”杨元庆说。以联想智能手机为例,虽然短期内在中国市场取得了排名第二的市场份额,但由于品牌及专利产权等方面的原因,很难进入美国等成熟市场,并购有效地解决了这一问题。

杨元庆未来对联想的定位不是一个单纯的制造企业,而是一个“硬件、软件、服务三位一体”的服务商。为了实现这一业务目标,联想进行了组织架构调整。

尽管联想方面信心满满,但资本市场并不领情。在1月30日联想收购摩托罗拉手机业务消息公布的当天,联想的股价不升反大跌8.21%,紧接着在农历新年后的第一个交易日(2月7日)又跌16.4%,公司市值在两个交易日内蒸发逾265亿港元。

对此,杨元庆表示资本市场的反应在联想的预期范围内,他认为投资者担心的主要有两点:一是摩托罗拉现在是一个亏损比较大的业务,就算未来可以扭亏为盈,但是在短期内一定会对业绩产生负面影响。二是担心联想整合和运营的能力,是否可将协同效应发挥至最大、有效地降低成本空间,认为这是对联想执行能力的一个考验。

针对这些担心,联想已跟一些投资人和分析师进行了深入的沟通。杨元庆表示,联想有信心在4至6个季度内扭亏为赢,并在2015年销售1亿台联想及摩托罗拉品牌的智能手机产品。

联想的盈利空间首先来自供应链的整合。据杨元庆介绍,摩托罗拉业务虽然亏损,但其实有相当好的毛利率,在23%至25%,之所以会亏损是因为其费用率过高。财报显示,联想第三季度的毛利率仅为12.6%,但联想仍有良好的利润,其主要原因是严格的供应链管理体系。这也是联想过去整合IBM PC业务、日本NEC电脑等海外业务时通常遇见的问题,但联想都是通过供应链的整合,包括在原材料采购、生产、制造等环节有效地发挥协同效应、降低成本。

“联想的费用率低、运营的平台更加高效,所以我们有信心让摩托罗拉变得跟我们一样高效。”杨元庆说。而且联想方面并不计划以裁员的方式来降低成本,因为摩托罗拉现在已经从3万多人裁到目前的3500人,已经大大地精简过了,而且剩下的3500多人可以说2000多人都是研究开发人员,“都是宝贝”。在产品线方面,联想希望利用摩托罗拉的品牌,使得这个产品线能够覆盖从高到低更多的价格段。

“我们要把摩托罗拉的品牌产品重新引入到中国和其他一些发展中国家,再借用联想在中国及新兴市场的销售能力和渠道,让它产生更大的效益,这是我们现在正在计划要做的事。”杨元庆说。

通过上述两轮并购,联想还将IBM、谷歌拉入了自己的生态圈。部分收购通过联想股票支付,这样IBM、谷歌就变成了联想集团的股东,这样一来就能为联想集团向“硬件、软件、服务三位一体”的发展提供更好的支持。
