根据公司的推荐，建议由王霞担任公司董事会秘书职务，由张矛担任公司财务负责人职务。公司不再设立副总裁职位。独立董事就聘任张矛先生为公司财务负责人、王霞女士为公司董事会秘书发表了一致同意的意见书。
此外，公司证券事务代表杨九英因工作变动，向公司董事会请求辞去公司证券事务代表职务。证券事务代表接替推荐人选将另行提交公司董事会审议。

王霞，51岁，1986年毕业于天津南开大学金融学系并获得经济学学士学位，1989年获得天津南开大学金融学系国际金融专业硕士学位。2001年加入中国网络通信有限公司(“小网通”)，后随行业重组进入中国网络通信集团公司及中国联合网络通信有限公司，历任财务部、综合部副总经理至今。
张矛，1990年7月于空军工程学院航空仪电自动化系仪器仪表专业大学本科毕业获工学学士学位。2005年-2008年历任中国联通有限公司财务部业务经理、财务部会计处副经理、财务部内控及会计检查处经理。2009年-2012年任中国联合网络通信有限公司财务部管理会计处经理。2012年6月至今任中国联合网络通信有限公司财务部副总经理(2013年12月至2015年12月挂职贵州省铜仁市人民政府副市长)。
