两个多月前因“结婚减持”引发市场猜测的游久游戏（600652）股东昨日一减持便遭证监会立案调查。

游久游戏3月23日晚间发布公告，公司股东代琳于2016年3月22日通过上交所大宗交易方式出售了公司无限售条件流通股股份11万股，占公司总股本的0.013%，交易价格为18.51元/股。减持后，代琳尚持有游久游戏7737.35万股，占公司总股本的9.29%，其中，无限售条件流通股股份1926.09万股，占公司总股本的2.31%；有限售条件流通股股份5811.26万股，占公司总股本的6.98%。

然而，就在同一日，刘亮、代琳收到证监会的调查通知书，二人因涉嫌信息披露违法违规（刘亮、代琳在构成一致行动人关系后未及时履行报告、公告义务），证监会决定对其立案调查。

回溯公告，2016年1月8日，上交所曾就游久游戏第二大及第三大股东的关联关系发出问询函。彼时，刘亮、代琳分别持有游久游戏10.28%和9.31%的股份，为公司第二大和第三大股东。

2014年，爱使股份（游久游戏前身）收购了刘亮、代琳、大连卓皓贸易有限公司持有的游久时代（北京）科技有限公司合计100%股权，二人由此获得上市公司股份。2014年11月，爱使股份完成重组，随后在2015年3月份正式改名为“游久游戏”。

然而，2015年1月，刘亮、代琳二人登记结婚，根据《上市公司收购管理办法》第八十三条的规定，刘亮、代琳已构成一致行动关系，二人的合计持股比例19.59%超过了第一大股东天天科技的17.11%。此后，在长达一年的时间中，游久游戏的公告里并未对相关信息进行披露，公司因此收到了上交所的问询函。

游久游戏在回复监管层的问询函中表示，2014年底重组完成时，刘亮、代琳之间不存在任何亲属关系或其他形成一致行动人关系的情形。2014年8月7日，代琳对不谋求控制权事项已出具补充承诺，承诺在交易完成后36个月内，放弃其所持有的公司7748.35万股中的3000万股股份对应的表决权、提名权、提案权，也即，二人持有表决权的股份比例为15.99%，低于大股东的17.11%。为此，天天科技仍为游久游戏的第一大股东，天天科技的股东刘祥、雷宪红、张立燕仍然为公司的实际控制人。因此，刘亮、代琳虽因登记结婚新增一致行动关系，但未导致公司第一大股东及实际控制人发生变更，且二人主观上并无谋求公司实际控制权的意图。

但在回函中，二人却“画蛇添足”地表示，为确保公司2014年重组完成后36个月内第一大股东及实际控制人不因二人新增一致行动关系而发生变更，二人可能择机适量减持所持有的游久游戏股份。

据了解，两人部分股票自2015年11月4日后解除限售，宣布减持计划时又正值证监会发布坚持新规后不久，正因如此，遭致投资者对其“结婚减持”的诟病。
