今年4月21日，中昌海运拟收购互联网营销公司博雅立方一事获得证监会发审会通过。而博雅立方是以搜索营销为核心的大数据智能营销软件和服务提供商，为百度50家星级代理商之一。
在中昌海运的收购方案中，博雅立方被描述为以搜索营销为核心的大数据智能营销软件和服务提供商，是百度、搜狗、360等数字媒体的重要合作伙伴。其主营业务为营销托管、大数据营销软件、营销服务。中昌海运将作价8.7亿元，溢价78.34倍收购。

新京报记者致电中昌海运证券部采访，工作人员表示对博雅立方的具体业务并不了解，无法说明百度此次事件对并购的影响，“公司目前也没有开展这方面的评估，但具体情况还需要问高层才知道，现在董秘和证代都不在。”
在收购方案中，中昌海运表示，一旦百度的经营政策(诸如对代理商的选择、返点政策等)发生变更，或者百度的市场份额发生下滑，都将影响博雅科技在百度的广告代理投放效果，进而影响博雅科技的经营业绩。
