　　在1宗操纵市场案中，投资者黄信铭、谢冠华、陈囡囡、黄正中、朱辉于2013年至2014年期间，控制多个账户，利用资金优势连续买卖“首旅酒店”、“劲嘉股份”、“珠江啤酒”股票，并在实际控制的账户之间交易，影响“首旅酒店”、“劲嘉股份”、“珠江啤酒”股价，违反《证券法》第77条第1款第(1)项、第(3)项规定。另外，投资者庄德智参与了操纵“劲嘉股份”股价。黄信铭在上述交易过程中起到了组织、决策作用。依据《证券法》第203条规定，我会决定责令黄信铭依法处理非法持有的证券，没收黄信铭违法所得约3.2亿元，并处以约3.2亿元罚款；对谢冠华、陈囡囡、黄正中、朱辉给予警告，并分别处以90万元罚款；对庄德智给予警告，并处以30万元罚款。

　　在3宗编造、传播虚假、误导性信息案中，重庆云锦广告传媒有限责任公司(以下简称重庆云锦传媒)通过其注册运营的@移动信息(案发时认证为《移动信息》杂志官方微博)新浪微博制作、发布、传播“中国电信与中国联通合并，中国移动与广电网合并”的虚假信息，上述虚假信息致使下一个交易日“中国联通”、“号百控股”、“广电网络”三支股票股价及交易量出现明显异常，重庆云锦传媒的上述行为违反了《证券法》第78条第3款规定，依据《证券法》第206条规定，我会决定对重庆云锦传媒责令改正，并处以顶格罚款20万元。赢商网在未就网络传闻向相关方面进行核实的情况下，发布《万达院线昨日停牌 消息称或将收购金逸影院及艺恩网》的报道，称“有知情人士透露”万达院线停牌是要收购金逸院线和艺恩网，对市场投资者形成了误导，违反了《证券法》第78条第3款规定，依据《证券法》第206条规定，我会决定对赢商网的注册运营方广州赢石网络科技有限公司责令改正，并处以顶格罚款20万元。中国连锁杂志社工作人员姜海锋撰写了《国美静候黄光裕归来》一文，署名发表在《中国连锁》2015年4月刊上，为当期封面文章，该文章包含黄光裕即将出狱的虚假信息。虚假信息传播以后，相关上市公司股票价格、信息披露秩序和股票交易秩序均受到影响。姜海锋编造、传播虚假信息的行为违反了《证券法》第78条第1款规定，依据《证券法》第206条规定，我会决定责令姜海锋改正，并对其处以顶格罚款20万元。《中国连锁》杂志及其网站刊发了《国美静候黄光裕归来》一文，同时还向相关网站推荐此文，传播了虚假信息。《中国连锁》的行为违法了《证券法》第78条第3款规定，依据《证券法》第206条规定，我会决定责令中国连锁杂志社改正，并对其处以顶格罚款20万元。

　　上述行为违反了证券法律法规，严重破坏了市场秩序，必须坚决予以打击。操纵市场、内幕交易以及编造、传播虚假、误导性信息等违法违规行为始终是证监会监管执法工作的打击与防控重点，证监会将进一步加大执法力度，对各类违法违规行为依法依规严厉查处，促进资本市场平稳健康发展。
