银监会:商业银行不得将代销产品与存款混淆销售
中新网5月13日电 据银监会网站消息,关于对商业银行代销产品的范围,银监会有关部门负责人今日表示,商业银行不得将代销产品与存款或其自身发行的理财产品混淆销售,不得违背客户意愿将代销产品与其他产品进行捆绑销售。
  为进一步规范商业银行代理销售业务,保护投资者合法权益,银监会于近日印发了《关于规范商业银行代理销售业务的通知》(以下简称《通知》)。银监会有关部门负责人就《通知》相关问题回答了记者的提问。
  关于对商业银行代销产品的范围,银监会有关部门负责人表示,《通知》规定,除政府债券和实物贵金属之外,商业银行只能代销由银监会、证监会和保监会依法实施监督管理、持有金融牌照的金融机构发行的金融产品。关于商业银行代销产品的范围,银监会与证监会和保监会已进行了充分沟通。当前,金融牌照具体为银监会颁发的《金融许可证》、证监会颁发的《经营证券期货业务许可证》以及保监会颁发的《保险公司法人许可证》和《保险资产管理公司法人许可证》。同时,为给未来市场发展预留空间,《通知》规定“银监会另有规定的除外”。
  对于如何规范商业银行对代销业务合作机构和代销产品的管理,银监会有关部门负责人表示,在合作机构管理方面,商业银行应当由总行对合作机构实行名单制管理,建立并有效实施对合作机构的尽职调查、评估、审批和退出制度。原则上应当由商业银行总行与合作机构总部签订代销协议,约定双方的权利和义务。商业银行应与合作机构建立定期对账机制,并由总行对合作机构的系统接入或托管实施统一管理,在本行与合作机构的网络和信息系统之间保持风险隔离。
  在代销产品准入管理方面,商业银行应对拟代销产品开展尽职调查,原则上应由商业银行总行对代销产品进行审批,并以书面形式对分支机构代销产品范围进行明确授权。商业银行应对代销产品进行风险评级,不得代销未经合作机构确认合规或未列入合作机构审批名单的机构发行的金融产品。
  《通知》印发前,商业银行已经销售但不符合《通知》规定的代销产品,应在产品到期或兑付后结清,不得继续销售。
  关于对代销产品销售的规定,银监会有关部门负责人表示,针对商业银行代销业务的投诉问题,《通知》强化了对代销产品销售环节的监管要求。
  一是加强投资者适当性管理,要求商业银行对客户风险承受能力进行评估,只能向客户销售与其风险承受能力相匹配的代销产品;二是加强信息披露和风险揭示,要求商业银行告知客户代销产品的发行机构和产品属性等信息,充分揭示代销产品风险,不得采取夸大宣传、虚假宣传等方式误导客户购买产品;三是规定商业银行不得将代销产品与存款或其自身发行的理财产品混淆销售,不得违背客户意愿将代销产品与其他产品进行捆绑销售,不得为代销产品提供直接或间接、显性或隐性担保等,不得允许非本行人员在银行网点从事产品宣传推介、销售等活动。
  另外,《通知》要求商业银行通过营业网点开展代销业务,应当根据相关规定实施录音录像,并妥善保管录音录像文件等代销业务文档,文档保存年限应当符合相关规定。
  银监会有关部门负责人还表示,为防止销售人员私自销售产品,《通知》做出了如下规定:一是加强员工行为管理,要求商业银行对销售人员及其代销产品范围进行明确授权,并在营业网点公示;二是实行专区销售,商业银行应按照银监会有关规定在专门区域销售,销售专区应当具有明显标识;三是要求商业银行在营业网点或官方网站提供查询代销产品信息的渠道;四是禁止商业银行未经授权或超越授权范围开展代销业务,假借所属机构名义私自推介、销售未经审批的产品,或在营业区域内存放未经审批的非本行产品销售文件和资料等。
  在代销业务的投诉处理,银监会有关部门负责人表示,《通知》要求商业银行与合作机构在代销协议中约定双方在投诉和应急处理方面的责任和义务,会同合作机构建立代销业务客户投诉和应急处理机制,明确受理和处理客户投诉的途径、程序和方式,以促进商业银行与合作机构根据各自的责任与义务,密切配合,做好投诉受理和处理等相关工作,妥善解决投诉问题。
