唐德影视准备7亿收购范冰冰旗下壳公司的风波还没有平息，黄晓明、孙红雷、孙俪、李小璐这些影视明星低价入股乐视影业一事又遭到深交所质询。
资料显示，乐视网5月6日晚间公告，拟向乐视影业股东以41.37元/股发行1.65亿股、并支付现金29.79亿，合计作价98亿元，收购乐视影业100%股权。
深交所昨日向乐视发出质问：
乐视影业估值近年来增幅较大，由2013年15.5亿元增加至本次98亿元，乐视影业2014、2015年度扣除非经常性损益后的归属于母公司股东净利润分别为6444万元和1.36亿元。
乐视影业2016年度、2017年度、2018年度承诺利润分别不低于5.2亿元、7.3亿元、10.4亿元，业绩承诺金额均远高于报告期水平。
深交所要求乐视：
（1）结合近期市场可比交易、同行业可比上市公司情况，补充披露本次交易评估增值率、市盈率水平的合理性。
（2）结合乐视影业目前经营业绩、业务拓展情况、核心竞争力及可持续性、市场可比交易的业绩预测情况对比等，补充披露本次交易业绩承诺金额的可实现性。
此外，本次交易中业绩补偿义务人为乐视控股、张昭、吉晓庆、乐普影天、乐正荣通，深交所要求公司结合收购完成后补偿义务人股份数量和资金情况，要求做更多补充说明。
此次交易中，乐视网与乐视影业的44名股东发行股份并支付现金。在这44名股东行列中有多位影视明星和导演，包括张艺谋、郭敬明、孙红雷、黄晓明、李小璐、孙俪等在列。
张艺谋是此次乐视影视中持股比例最大的明星股东，当初张艺谋对乐视影业的出资金额是1201.53万元，如今手中股份对价总额是1.41亿元，浮盈约1.29亿元。
《小时代》导演郭敬明2015年5月刚入股乐视影业，其以每股1元价格获500万股股份。如今其市值约5855.5万元，较当初的500万元投资账面盈利5355.5万元，盈利超10倍。
黄晓明和李小璐当初也都对乐视影业也有参股，两人当初分别出资59.99万元，目前对价后两人手中的股份对价金额分别达到702.66万元。
深交所直接指出，2014年、2015年，乐视影业引入了众多制片人、导演、演员，其获取标的公司股份的价格相对于本次收购对价较低。
深交所要求说明乐视影业与上述制片人、导演、演员是否签订了业绩承诺或补偿协议，是否有竞业禁止或其他合作安排。
据悉，2016年3月，暴风科技出资10.8亿元收购江苏稻草熊影业60%股权，稻草熊影业的股东包括刘诗诗、赵丽颖等明星，估值达到15亿元。刘诗诗同时还是海润影视股东。
同样是2016年3月，唐德影视计划收购无锡爱美神影视文化有限公司51%股份，范冰冰持有的空壳公司估值不低于7亿元，唐德影视意图以此绑定的核心资产就是范冰冰这个IP。
不少股民则认为，黄晓明、孙红雷、孙俪、李小璐这些明星本身通过拍影视电影、广告代言赚得盆满锅满，现在又通过跟上市公司关联，套取了比以前更大的利益，这对散户不公平。
