IT资讯讯 5月17日消息，神州专车运营主体神州优车股份有限公司于今年4月12日申请挂牌新三板，不过收到外界质疑，在主营业务巨亏的情况下冒险挂牌新三板并非明智之举。而近日，神州优车更遭到北京律师吴学益实名举报，举报内容称神州优车申请新三板相关材料和文件中存在虚假记载、误导性陈述或重大遗漏，严重违反诸多业务规则，不仅直接欠缺新三板挂牌的多项条件，而且构成对投资人的严重欺骗。
吴学益律师指出，神州优车的公开转让说明书中存在多处虚假记载、误导性陈述或重大遗漏，严重违反了《全国中小企业股份转让系统业务规则（试行）》、《全国中小企业股份转让系统股票挂牌条件适用基本标准指引（试行）》等业务规则，主要包括商业模式的虚假误导、市场份额、盈利预测欺骗投资者、不具备运营资质以及其他的违规情况。
吴学益称，神州优车把其商业模式描述为“汽车共享平台”、“出行共享平台”，但实际上，其商业模式只是“传统出租车+APP”，与“共享经济”或“分享经济”没有任何关系。同时，神州优车市场份额的描述、盈利预测存在严重的虚假记载、误导性陈述，他更是直言，神州优车根本不具有持续经营能力。同时，吴学益指出，神州优车的商业模式严重违反现行法规，根本不具备运营资质，持续经营存在直接、明显的法律障碍。此外，他还称神州优车不具备增值电信业务经营许可证且涉嫌违反外商投资相关法律规定，并质疑了神州优车的用工模式。
目前，神州优车方面尚未对此事进行回应。
