美国贸易代表办公室称，第三次交换负面清单将是双方谈判中一个重要里程碑。
周密也对澎湃新闻分析，一旦中美双方就负面清单基本达成一致，那中美投资协定谈判的主要障碍就基本克服，“但前提是双方对开放程度的期待，或者清单开放内容有明显变化，这两个要素如果都没太多调整，那难度依然不小。”
商务部研究院世界经济研究所所长梁艳芬对澎湃新闻（www.thepaper.cn）称，负面清单双方最关心的，应该还是外资的市场准入问题，包括股权比例限制等等。
在负面清单上达成一致，相当于是在投资领域中，对外国企业划定禁止或限制进入的领域，这将极大便利双方企业到对方国家投资。
长期以来，美国一直希望中国可以削减更多行业对外资的限制，减少禁止外资进入的行业，而中国则认为美国一直以国家安全审查为由对中国企业的投资设置限制。
今年3月，博鳌亚洲论坛期间，商务部前部长陈德铭曾对澎湃新闻表示，中美投资协定谈判快到终点，主要核心问题已经结束，目前是负面清单和出价阶段，“大家在负面清单上出现了一些分歧，从第一次出价到现在，已经很长时间，现在又出了新的（出价），比之前大大进步，我们对美国也提出了要求。”
陈德铭当时表示，中美双方在负面清单的经济领域没有什么分歧，但在文化和增值电信等方面有待解决。
外界普遍认为，本轮中美战略与经济对话是一个关键时间窗口，因为下半年美国大选将进入关键阶段，对外投资协定谈判将不会成为美国政坛的关注重点。
雅各布·卢在6月5日也表示，在奥巴马政府所剩不多的几个月当中，是非常好的机会，“我们应该加倍努力，希望能够取得进展，希望能够离终点线走得更近。因为我们可以理解，接下来有新的一届政府，有新的人上台，有新的关系形成，可能会有一段时间要看情况来定，中美投资协定谈判现在如果取得进展会比较好。”
