  想弄清楚这些问题,先要从克劳斯玛菲这家企业说起。如果说这家企业主攻“化工”“塑机”,估计听者都会有点蒙,但要说起它的下游产品,仪表盘、轮胎等等,是不是分分钟就觉得熟悉了?


  克劳斯玛菲是全球领先的塑料和橡胶加工机械设备制造商,拥有178年历史,其通过克劳斯玛菲、克劳斯玛菲·贝尔斯托夫和耐驰特三大知名品牌,为汽车、包装、医疗、建筑工业等行业客户,以及电气和电子产品及家电产品生产商提供服务。

  如果把汽车仪表盘、医药胶囊、无人机翼展等五花八门的部件产品比喻成“蛋”的话,那么克劳斯玛菲生产的机器就是那只下蛋的“鸡”。它可以提供研发、设计、生产以及维保等一体化解决方案,是个典型的工业生态系统制造商。克劳斯玛菲最大的客户来自汽车行业,其下游产品从仪表板生产机械到轮胎制造设备种类多样。



  今年年初,中国化工宣布以9.25亿欧元并购德国克劳斯玛菲,这是中国在德国的最大一笔投资。就在近期,这笔并购已顺利交割。


  看到这,你会问了,咱中国的央企花这么大一笔钱并购,为的就是买它的技术?


  才不呢!中国化工董事长任建新说,此次并购,不只是拿来技术和品牌那么简单。看中的是德国工业的生态系统,以及“它身上流淌的是德国精密制造的血液和先进制造的基因。”也就是说,这次并购,是把中国化工旗下的装备板块企业按照克劳斯玛菲的理念、流程、标准进行再造,进行结构性的改革。


  在成本高企、产能过剩、传统优势逐步消失的当下,我国制造企业面临的问题,并非引进一项先进技术就可以解决。而是需要用先进的理念和运营模式,进行彻头彻尾的改造,提高效率,激活潜力。


  随着低端制造纷纷向周边国家转移,中国制造业升级压力日渐加大,制造业的生产机器也面临供给侧结构性改革。


  授人以鱼不如授人以渔。随着经济结构的深度调整,越来越多的企业认识到了这点。企业走出去,早已不是单纯的“买买买”。从新技术切入,用先进理念和管理模式倒逼结构改革,激活市场,成为很多企业海外并购新思路。



  以中国化工为例,其旗下的化工装备制造板块目前主要是生产橡胶机械、化工装备、零部件等,但分散在多家企业中,组织松散,各企业产品在市场上单打独斗,技术含量、服务质量都和国际一流塑胶设备制造企业有差距。


  本次收购的一个重点,就是继续保留克劳斯玛菲的运营模式,倒逼国内企业转型:不再是能生产哪些产品,而是客户需要生产哪类产品和服务组合,并通过配套供应和技术转移,更加专注于产品的精细化生产,提高质量和服务水平。此外,中国化工的橡胶机械板块,还将通过克劳斯玛菲的网络和渠道,在国际市场占有一席之地。


  对于克劳斯玛菲来说,也借助中国化工获得进入大中华区市场的渠道,在亚洲这个全球制造基地获得市场份额飞跃。


  也许,不久的将来,德国汽车轮胎将产自中国设备之“手”。
