而本次沃尔玛将获得京东新发行的144,952,250股A类普通股，这意味着，京东集团总股本由此前的2,767,893,260股变为2,912,845,510股。
由此计算，沃尔玛将在京东实际持股为4.97%，以京东当前股价计算，沃尔玛持股价值约为14.35亿美元（约合95亿元人民币），也就是说，1号店实际估值为95亿元人民币左右。
刘强东持股被稀释至15.4%
SEC文件显示，截至2016年2月29日，京东集团CEO刘强东通过Max Smart Limited直接持有449,444,989股，占股16.2%。
不过，SEC文件还显示，Max Smart Limited持有投票权为71.5%。此外，Fortune Rising Holdings Limited持股2%，有约9.3%的投票权，这部分投票权也归属于刘强东。这使得刘强东共拥有80.9%的投票权。
而本次京东向沃尔玛发行新股以后，随着总股本变为2,912,845,510股，刘强东持有的449,444,989股在京东的实际占股为15.4%。而刘强东的实际投票权变动目前尚不得知。
据悉，截至2016年2月29日，腾讯持有498,850,435股，占比18%，为京东最大机构股东，但只拥有4.2%的投票权。高瓴资本持有245,217,184股，占比8.9%，拥有2.1%的投票权。
而如果从2月底至今上述两大股东持股数均未发生变化的话，在本次发行新股以后，腾讯和高瓴的持股也将得到不同程度的稀释，腾讯持股将变为17.1%，而高瓴资本持股将变为8.4%。
