仅仅十天后的2015年7月23日,沃尔玛宣布已收购1号店余下股权,全资控股这家在中国发展迅速的电子商务公司。沃尔玛全球电子商务亚洲区总裁兼首席执行官王路的部分管理职责包括领导1号店。此前沃尔玛拥有1号店51.3%股权。

当时沃尔玛表示,在全资控股1号店后,沃尔玛计划加速电商业务的发展,希望为线上、移动端和实体店的顾客创造无缝连接的购物体验。

不过最终,沃尔玛还是决定放弃1号店。6月21日凌晨,京东宣布与沃尔玛达成一系列深度战略合作,而此前盛传京东400亿人民币收购1号店的消息得到回应。根据合作协议,沃尔玛将获得京东新发行的144,952,250股A类普通股,约为京东发行总股本数的5%。而京东将全资收购1号店,拥有包括“1号店”的品牌、网站、APP等所有资产。

目前,SEC(美国证券交易委员会)官网上京东还未提交同沃尔玛达成合作的公告,不过受此消息影响,京东开盘股价上涨超过8%。

京东看中供应链

2015年初,刘强东曾对媒体表示,未来将投入上百亿元人民币发展海外业务。刘强东称京东国际化战略分两部分,一部分是把国内的商品卖出去,另一部分是把国外的商品买进来并在国内销售。

2015年被公认为跨境电商爆发年,巨头、成熟的玩家、创业者纷纷在这个领域寻找自己的生存空间。但在巨头领域,和天猫国际、网易考拉相比,京东国际显得不温不火,甚至有跨境电商从业者直接对腾讯科技表示:“京东在海外拿授权的能力不如几家垂直跨境电商。”

但此次和沃尔玛达成深度合作后,京东或许将获得梦寐以求的海外资源。

沃尔玛在中国的实体门店将接入京东集团投资的中国最大的众包物流平台“达达”和O2O电商平台“京东到家”,并成为其重点合作伙伴。通过线上线下融合,包括吸引更多线上客流到沃尔玛实体门店,以及为“京东到家”的用户提供沃尔玛实体门店极为丰富的生鲜商品选择,为更广泛的用户群体提供2小时超市生鲜配送到家的服务。

线下转线上难,沃尔玛或放弃自建电商

京东获得了满意的海外资源,而沃尔玛或许也将彻底放弃自建电商的努力。

根据腾讯科技了解,此前1号店和沃尔玛的合作主要集中在商品采购和物流。根据相关数据显示,目前1号店上沃尔玛的直采商品和沃尔玛自有品牌SKU接近1000。然而相比于沃尔玛所销售的几百万个SKU来说,这简直就是沧海一粟。

有接近1号店的电商人士对腾讯科技表示:“1号店与沃尔玛之间在产业链条上协同非常少,双方基本上还未进行数据打通。”

而作为跨国零售巨头,沃尔玛在华的拓展脚步却并不顺利,之前曾10亿美元收购线下连锁超市好又多,用了好几年时间才完全整合完毕,之后又遭遇各种扩张问题,在华门店开开关关,发展速度不快。

但和刚刚收购1号店部分股份时相比,电子商务市场的红利期已经过去,即便1号店10倍于京东的投入也不大可能再造一个综合平台电商了。

沃尔玛美国电商采取线上线下联动的体验店,也就是O2O模式。消费者可以在线上购买,线下提货和维修;也可以在线下购买,由线上下单配送。沃尔玛想过将这个模式推向中国的城市和乡镇,在今年第一财季,沃尔玛中国就在深圳23家大卖场门店推出O2O服务平台速购,但是推进速度极其缓慢。

此次和京东的合作,沃尔玛将自己的网上商城、线下资源全部和京东进行合作,这或许意味着将来沃尔玛会放弃在中国自建电商平台。
