6月18日疯狂大促还不够劲爆,电商行业又被另一个关于京东的重磅消息震动。昨日,有消息称,京东将以400亿元收购1号店。对此,双方都不予置评。从表面上看,400亿元有些“异想天开”,收购有些没落的1号店也无法对企业产生直接帮助。不过,从深层次看,这一消息或许并非空穴来风。业界认为,不能排除京东与1号店幕后资方沃尔玛合作的可能。对抗天猫及推动O2O业务,对于京东和沃尔玛双方都有重大战略意义。

惊天收购传闻

在互联网领域一切皆有可能。这一次,创立“6·18”大促的京东成为传言主角:前者将以400亿元从沃尔玛手中收购1号店。

昨日上午,“沃尔玛卖掉1号店,京东成接盘侠”的消息在电商行业和零售圈流传。消息援引多方信源表示,京东正在洽谈收购沃尔玛旗下1号店,“京东对1号店的收购谈判已经进入后期,基本敲定,收购金额将超400亿元”。此外,更有消息称,除了京东外,阿里和海航集团似乎也有意从沃尔玛手中收购1号店,导致谈判曾陷入胶着状态。

对此,北京商报记者分别联系京东、沃尔玛。不过双方均表示对此事不予置评。但有消息人士称,该消息已经确定,或于本周对外公布。传言的另一收购方阿里则明确表示不会收购。

京东买不买

虽然从互联网领域近来的发展轨迹来看,昔日竞争对手最终握手言和的案例大量存在,但从此次传出的收购细节来看,收购恐怕难以完成,首先就是价格方面。

“1号店虽不能说是垃圾资产,但收购后肯定是无望盈利的”,电商分析师李成东表示。在李成东看来,目前传言的400亿元收购价过高,两倍于PS(市销率),“这跟疯了差不多”。业内分析认为,已经退居上海市场的1号店,对京东而言并无太大收购意义,400亿元收购价纯属“漫天要价”。此外,即便1号店值这么多钱,凭借京东目前的规模怕也难以完成收购。

除了价格方面,同为B2C电商平台的京东和1号店合并或许也无太大意义。北商研究院分析认为,虽然京东以3C起家,1号店主打食品和日用百货,但双方合并的话业务重合度还是过高,对于B2C业务几乎没有互补作用,此外收购对于京东扩张而言也无决定性作用。

如果真如传言所说,京东与1号店存在400亿元大交易,但交易对象不会是1号店,而是背后老板沃尔玛。有分析称,此次收购或将演变成沃尔玛以股权投资京东,1号店正是其中一部分,这和之前腾讯将易迅、QQ网购及拍拍打包融入京东是同样的套路。如果按照上述方法交易,京东得到了渴望的超市品类资源,且股价有了全球零售老大沃尔玛的加持;沃尔玛也可以轻松前行,并且有了更优秀的电商资源。

事实上,2011年沃尔玛就投资京东谈判半年多,估值等全部谈妥,但因京东无法接受逐渐全盘收购的条款而告吹。如果上述分析落地,也算实现了沃尔玛和京东之间的夙愿。

第三次易主

易主传闻对于以超市品类起家的1号店来说并不新鲜,甚至有点频繁,尤其是在创始人失去控股权后。1号店多次以公开声明的方式来驳斥谣言,不过对于此次1号店被洽购的传闻,后者表示,“官方不予置评”。

公开资料显示,2008年于刚、刘峻岭创立1号店;2010年5月,急需资金救命的1号店接受了平安集团出资的8000万元,代价是1号店80%股权。2011年5月沃尔玛入股1号店,占股17.7%;2012年8月,中国商务部批准沃尔玛对1号店的控股增至51.3%,成为最大股东。此前有分析人士称,在被平安和沃尔玛入股后,于刚和刘峻岭就失去了对1号店的控制权,股权稀释后,1号店管理层及其员工所占股份仅剩下11.8%。

这正是于刚屡被传离职的开始。2012年11月,传出消息称,1号店多位高层被沃尔玛架空;2014年9月,1号店再次被传出将易主华润,后遭到辟谣,“1号店及战略合作伙伴沃尔玛从未与华润集团就资本合作事宜有过接触”。2015年3月,又一轮离职传闻开始,不过,这波传闻最终被证实,随后的7月14日深夜,沃尔玛和1号店同时发出声明称,1号店创始人于刚、刘峻岭已决定离开1号店去开创他们的下一个事业。

被沃尔玛全资控股不到一年,1号店仍然传出易主传闻,不管接盘者是传闻中的京东、阿里、海航亦或只是一个谣言,这个超市品类的B2C老大显然已经今不如昔了。从2008-2013年,1号店的销售额从417万元一路飙升到115亿元。不过,随着沃尔玛入主,1号店在砸钱引流上克制了很多,同时京东、阿里上市也挤压了1号店的市场规模,1号店成为电商领域的第二梯队并日益边缘化。

有传统零售业人士向北京商报记者表示,传统零售做电商的犹豫在于烧钱无数而且看不到盈利希望。据他透露,于刚和沃尔玛之间存在对赌协议,以1号店2014年的业绩来看,于刚对赌并没有成功。在2015年初的业绩说明会上,于刚以沃尔玛要求为由没有发布具体销售额数字。不过,沃尔玛接盘1号店后并不好做,一方面国内B2C格局已定,1号店突围的希望不大,只能借助沃尔玛全球供应链在个别品类,如进口食品等方面差异化发展,价值逐渐降低;另外,传统零售和电商是两种截然不同的思路,双方的对接并没有明显的推进。

各取所需

沃尔玛对1号店的投资属于战略投资,非短期财务投资,并且后者是试探了解中国市场的有效渠道。2015年4月,沃尔玛全球总裁兼首席执行官董明伦(Doug Mcmillon)来华介绍沃尔玛未来三年的发展计划,他在回答记者提问时表示,“我们对1号店的投资让我们能够有机会快速地进入电商市场,并且在中国测试一些创新的解决方案”。

从去年开始,沃尔玛中国不断向外宣称自己是一个O2O公司,对于B2C电商1号店来说,公司价值日益削弱。董明伦提到了1号店2014年12月开始运行的“小区雷购”项目,即在服务覆盖区域,最快3个小时完成肉蛋奶等消费必需品的极速配送。一个月后,沃尔玛便在深圳推出了自己的O2O平台“速购”(后改名叫“沃尔玛”),部分配送人员来自于1号店当地配送团队。

对于致力于做O2O公司的沃尔玛来说,已经通过1号店摸索出基于移动端的快速反应体系,在实体零售门店也在艰难度日的情况下,甩掉看不到盈利的B2C包袱并非没有可能。反观传闻另一主角,京东在去年以43亿元入股永辉,占有其10%左右的股份,但双方的整合更多体现在生鲜供应链和京东到家上。超市品类的线上运营依然是从0起步,1号店累积多年的超市品类运营经验及消费群体依然对于长于3C数码短于日用百货的京东价值匪浅,如果能用一个合适的价格拿下1号店,便可安心抵挡来自天猫超市和苏宁的进攻,而后者已经结成联盟、优势互补,京东却依然单打独斗。同时,1号店的优势区域长三角恰恰是京东的弱势区域,天猫超市在北京砸下10亿元补贴抢消费者的同时,京东也需要一股强大的力量来对抗天猫的老窝。

下个月,沃尔玛中国新任CEO将走马上任,在前两任的努力下,沃尔玛中国优化线下门店的同时也做好了电商的占位。对于沃尔玛来说,新官上任后,既要减轻包袱上路,又不能失去对电商领域的布局,这是一个难以两全的问题。北京商报记者王运邵蓝洁
