　　李名智。广州日报旗下大洋网原总裁、现任上海香榭丽广告传媒有限公司（以下简称“香榭丽公司”）董事长兼副总经理李名智因涉嫌贿赂犯罪，已被广州市人民检察院立案侦查。

　　本公司及董事会全体成员保证信息披露的内容真实、准确、完整，没有虚假记载、误导性陈述或重大遗漏。

　　广东广州日报传媒股份有限公司（以下简称“公司”）接到广州市人民检察院出具的《广州市人民检察院告知书》，主要内容如下：

　　受公司委派，到上海香榭丽广告传媒有限公司任董事长兼副总经理的犯罪嫌疑人李名智，因涉嫌贿赂犯罪，根据《中华人民共和国刑法》之规定，广州市 人民检察院于2016年6月12日，依法对其立案侦查。根据《刑事诉讼法》之规定，广州市人民检察院于同日对犯罪嫌疑人李名智采取刑事拘留强制措施。

　　李名智被立案侦查及刑事拘留不属于《深圳证券交易所股票上市规则（2014 年修订）》 （以下简称“《上市规则》”）规定的公司将被实施退市风险警示的情况。

　　如有后续相关进展，公司将按照相关法律法规及《上市规则》的规定，及时履行信息披露义务。
