“巴铁”项目是否被政府批准?

有媒体报道,秦皇岛市和北戴河区相关部门均不了解“巴铁”项目。巴铁科技监事、股东白志明向新华社记者表示,河北当地政府知晓此事:“我们和政府有签约意向和框架协议。”

融资疑云:私募是否违法?

有媒体报道,华赢集团有限公司、北京华赢凯来资产管理有限公司(下称华赢凯来)、巴铁科技和中国建设企业联合集团有限公司(下称中建联)都与白志明有关,且关系复杂,怀疑其涉嫌不当使用资金。另据媒体报道,“巴铁”项目能否落地尚未明朗,就已发售理财项目募资,怀疑其涉嫌非法集资。

巴铁科技法律总监毕丹龙说,公司资金来源主要是股东出资、私募基金筹款。白志明表示,他是华赢集团和华赢凯来的董事长,后者是前者的子公司,华赢集团购买了宋有洲的巴铁技术专利,成立了巴铁科技;白志明是巴铁科技的股东、监事,未任董事长职位。中建联是华赢凯来的独立担保方。

白志明表示,“巴铁”项目总募集资金1.047亿元。其中,白志明作为股东出资4000万元,委托北京天尔投资基金管理有限公司发行了两期私募基金,针对有投资能力和抗风险能力的人群发售,100万起投,年化收益12%。一期募集2280万,二期募集4190万。资金用途是巴铁科技发展有限公司100余人的开支和前期车辆制造、道路建设等费用。

在中国证券投资基金业协会网站记者查询发现,北京天尔投资基金管理有限公司管理的基金更新信息均为今年1月,状态均为“正在运作”。

记者在北京市企业信用信息网看到,“北京华赢凯来”的企业信息下方有3条警示信息。包括两条行政处罚信息,其中一条提到该公司因“未依法登记为有限责任公司或者股份有限公司,而冒用有限责任公司或者股份有限公司名义”等,处罚内容为罚款1万元。此外,该公司还有一条“经营异常名录”信息,列入原因为“通过登记的住所或者经营场所无法取得联系”。“北京华赢凯来投资担保有限公司”也有2条行政处罚信息,其中一条为“擅自散发宣传品”。

记者在民政部网站看到,民政部公布的第四批“离岸社团”“山寨社团”名单中,“中国建设企业联合会”位列其中,此前白志明曾作为该协会会长。

记者致电北京市金融工作局“局长信箱”,接电话的工作人员表示未公示过打击非法集资的黑名单,也不能对华赢凯来是否涉嫌非法集资进行判断。

北京通商律师事务所合伙人李洪积表示,“巴铁”项目募资的不合理之处在于,项目仍处于试验期、距离应用相距甚远,在这样的情况下募资并承诺12%的年化收益率,存在误导和欺骗嫌疑。但是否真正存在欺骗行为,还需要分析私募基金的用处,对此,公司外部人士自然不得而知。

北京辽海律师事务所合伙人谷辽海表示,围绕“巴铁”的企业中,多家公司与同一人相关,虽然没有明确违法,但会造成关联交易的风险,需要引起投资者与监管层的重视。

技术之争:巴铁“信心满满”,专家对此存疑

技术可行性也是“巴铁”受到质疑的重要原因。有媒体认为“巴铁”有体积大、重量大、转弯难度大、乘客逃生难、底部过车会对车辆造成压迫感等问题。

对此,白志明表示,“巴铁”车底会设置电子灯光技术处理,类似于地铁隧道中的广告,消除压抑感,并解决向后倒车的幻觉问题。

针对“巴铁”重量问题,白志明表示,每节车厢满载重量36吨,四节车厢加起来100多吨,压强分布在60米长、8米宽的面积上,路面可以承受。

国家发展和改革委员会综合运输研究所城市交通室主任程世东表示,从技术角度看,“巴铁”的构想实现难度较大。首先,“巴铁”重量大、重心高,很容易侧翻,存在一定的风险。其次,“巴铁”对道路宽度要求高;而且,“巴铁”下方给车辆的高度只有2米左右,不能保证全部车辆通过;即便路面足够宽,“巴铁”也受桥高度的限制。第三,基于轨道的宽度,“巴铁”的转弯半径必然很大,拐弯时“巴铁”底下的车辆通过也有一定的风险。第四,“巴铁”不容易解决道路交叉口通行的问题,由于转弯半径大,“巴铁”不适合大部分的道路交叉口,在解决道路交叉口交通拥堵的问题上意义不大。
