  楼市的火热不仅吸引个人投资者,上市公司也争相参与其中。继*ST宁通B(200468,收盘价8.28元)拟处置两套北京的“学区房”减亏后,又一家上市公司打起了手中房产的主意。


  9月27日,天和防务(300397,收盘价29.28元)收盘后公告称,拟处置此前购置的位于北京市朝阳区的三套房产。


  记者注意到,根据公司转让底价估算,这三套由天和防务6年前购置的房产至少可以给公司带来2630万元的现金,并实现约1000万元的收益。在主营不振,上半年亏损逾2000万元的情况下,这笔收益似乎是目前上市公司经营上为数不多的亮点了。


  天和防务方面坦承,此次处置办公房产能够有效盘活公司存量资产,更好地发挥资金的使用效率;预计产生收益约1000万元。


  3套房至少赚1000万


  根据天和防务公告,公司此番拟处置的三套房产均是此前为北京分公司办公所购置的场所。房产地址分别位于北京市朝阳区北辰西路69号19层1单元2201、2202,以及北京市朝阳区北四环中路6号华亭嘉园C座2层204室。由于上市公司发展战略布局和业务发展需要,公司拟在北京投资设立全资子公司,注册地址为北京市石景山中关村科技园。这就导致上述房产出现了闲置,鉴于此,公司拟通过房产中介公司予以公开出售。


  据悉,前两套位于北辰西路69号的房产建筑面积分别为221.59平方米和405.10平方米,房屋性质均为商品房,由天和防务2009年购置。两套房产账面原值分别为405.62万元和743.39万元,折算下来,上市公司当时购买均价不足2万元/平方米。另外一套位于北四环中路6号的房产建筑面积为156.58平方米,房屋性质为商品房,由上市公司于2010年购置。该资产账面原值351.48万元,购买均价约为2.24万元/平方米。


  由于买入时间较早,目前天和防务持有的这几套房子价值显然不可同日而语。


  记者查阅资料后发现,北京市朝阳区北辰西路69号所在地为一个叫“峻峰华亭”的住宅小区,位于北三环与北四环之间靠近北四环的位置。该小区距国家奥林匹克中心不远。据搜房网信息显示,峻峰华亭二手房的房价大致在3万元/平方米,而华亭嘉园的二手房价格更是达到5万元/平方米。


  天和防务在公告中称,2201处房产转让价格将不低于680万元;2202处房产转让价格将不低于1250万元;华亭嘉园C座2层204室处房产的转让价格则不低于700万元。累计算来,三套房产转让底价合计为2630万元,公司原始买入价为1500.49万元,存在不小的价差。


  天和防务方面表示,此次处置办公房产能够有效盘活公司存量资产,更好地发挥资金的使用效率;预计产生收益约1000万元,若处置房产事项能够在2016年度内完成交易,将会对公司2016年度经营业绩产生影响。


  主营业务低迷


  值得一提的是,对于天和防务而言,这1000万元的收益带来的影响不可小觑。


  据记者了解,天和防务主要从事军民两用电子信息系统整机及配套设备、光电子产品的研发、生产等业务。受国内军队体制改革所带来的采购方式调整等因素影响,公司近年来的业绩出现了大幅下滑。2015年,公司净利润亏损5532.71万元;今年上半年,公司再度亏损2170.11万元。


  就当前情况来看,天和防务已经面临两年亏损而被“ST”的风险。要避免最坏的情况出现,公司必须在今年下半年打一个翻身仗。在主营业务下滑的情况下,类似这种处置房产获得的投资收益,对公司来说无疑是好事。


  事实上,天和防务未来的业绩表现,很大程度还要寄希望于其2015年并购取得的成果。


  天和防务于2015年12月宣布耗资4000万元揽入长城数字51%的股权;交易对手承诺长城数字2016年、2017年扣除非经常性损益后的主营业务税后净利润分别不低于1000万元和1500万元。


  再往前追溯,天和防务于2015年中期收购了华扬通信60%股权。华扬通信承诺其2016年度的税后净利润将不低于3500万元。


  据天和防务2016半年报,长城数字上半年净利润为191.65万元;同期,华扬通信的净利润为513.63万元。两家公司能否完成业绩,十分依赖其在下半年的发挥。
