Late on September 30, Legend Holdings (03396. 9月30日晚间,联想控股(03396.HK)发布公告称,该公司全资附属联想(北京)有限公司与北京市海淀区国有资本经营管理中心订立股份转让协议,拟以17.8亿元出售联创瑞业(北京)资产管理全部股权,其主要资产为北京联想研究院大厦。

在17.8亿中还包括4900万元的股东贷款,同时,17.8亿元将从股份转让协议日期起10个营业日内支付给对方。截至2016年9月30日,联想(北京)有限公司的资产净值为2.65亿元。

值得一提的是,在出售事项完成后,该物业将被租回给联想,以确保联想集团的持续营运。

联想研究院大厦是一幢位于北京市海淀区上地西路6号、总建筑面积为8.99万平方米的商业大厦。

对于出售的原因,联想的董事认为,联想集团将透过出售事项变现该物业的市值及巩固联想集团的整体财务状况,令其能够重新分配资金至其核心业务范围并提升本公司股东的回报。交易完成后,出售所得款项净额估计为约人民币16.96亿元,联想拟动用出售事项的所得款项净额为联想集团核心业务提供资金以进一步提升效率及提高联想集团的长远盈利。

而这距离上次联想出售旗下地产项目仅仅过去不到半个月的时间。

9月18日晚间,联想控股公告称,联想控股及融科智地与融创房地产订立两份框架协议。根据协议内容,融创拟收购联想控股41间目标公司的相关股权及债权,该等目标公司主要拥有42个物业项目的权益,框架协议项下拟进行的交易事项总代价约为人民币137.88亿元。

联想2016年半年报数据显示,截至6月30日,联想收入为1349.84亿元,同比减少4.84%;净利润约42.4亿元,同比下降17.1%,从业务收入上来看,联想控股收入主要来自战略投资项目。其中IT收入1252.3亿元,金融服务收入5.6亿元,现代服务9.4亿元,农业与食品收入12.3亿元,房地产收入44.9亿元,化工与能源材料收入25.7亿元。
