为“吸粉”编造虚假信息
事情还得从2016年2月24日说起。
李某是微信公众号“弥达斯”内容中心总编辑，其主要的一项工作就是为该公众号撰写文章。当天下午，李某通过网络搜索到了招商银行副行长赵某在“亚布力中国企业家2016论坛”上讲话的相关信息。
据了解，赵某在当天的活动现场是这样表述的：未来股市好了，起来了，慢慢就把我们退了。我们也希望，比如现在2800点，真的赚到4200(点)、4300(点)，中证金(注：指中国证券金融股份有限公司)也退了，能把钱还给我们。
然而，就是这么一番表达，李某在所撰写的《国家队：招商银行副行长喊你还钱了》一文中，将其表述为“招商银行副行长赵某今日公开喊话证监会，督促其赶紧还钱”。
“这一文章采用了不符合实际的标题吸引读者眼球，内容上也存在断章取义、主观臆测、曲解发言人真实意思等情形。”证监会相关工作人员介绍。
同时，文章还提到，“不仅如此，对于救市资金这大半年来的投资损益情况不够透明，该副行长也表示了不满”。然而，根据招商银行提供的说明，发言人对投资损益相关表达，是赵某针对主持人提出的4万亿元资金来源及救市具体渠道其本人并不知道这一客观事实的陈述，并非对于救市资金这大半年来的投资损益情况不够透明表示的不满。
那么，李某缘何会想到写这么一篇文章？
据办案人员介绍，李某在网络上看到招商银行副行长赵某讲话的相关信息，并发现网友纷纷留言及评论，认为该话题热度较高、在写作方面有发挥空间，萌发了以网络流行语撰写一篇相关报道的想法，以吸引粉丝，增加“弥达斯”的影响力。
于是，2016年2月24日21时13分，“弥达斯”正式发布《国家队：招商银行副行长喊你还钱了》一文。
该文章发布后，被迅速、广泛传播，并产生了很大的影响力。
这从几组数据中可见一斑。
通过微信，仅在两日内就有超过四万次阅读。同时，被一些主流财经网站转载，加速和扩大了该虚假信息的传播速度和范围。通过百度搜索“国家队：招商银行副行长喊你还钱了”可得到105万个结果。
神速调查起底“弥达斯”
2016年3月2日，证监会稽查局发函深圳证监局，要求就这一案件进行调查。于是，深圳证监局办案人员马上行动，并查到了到底是谁在运行“弥达斯”这一公众号。
“基于微信公众号运营和传播信息的特点，与传统编造传播虚假信息案相比，该案的涉案主体采用虚拟化的方式在网络上运作，更具有隐蔽性。”办案人员介绍，微信公众号“弥达斯”借用了一家经登记备案的私募机构名义进行微信认证，其实际运营主体与名义认证主体、名义认证主体本身注册地与实际运营地均存在不一致的情况。
“为找出‘弥达斯’真正的运营主体和运营地点，调查组穷尽各种调查途径，最终从该公众号注册时留下的一个联系电话入手，顺藤摸瓜获取了这一公众号的真正运营地。”办案人员介绍。
通过一天高效、忙碌的现场工作，调查组找到了文章撰写人，固化了李某撰写文章的证据，并掌握了“弥达斯”的真正运营情况，勾勒出“弥达斯”运营主体和认证主体在运营中扮演的角色；还获取了文章广泛传播的证据，为确认各方主体责任拿到了第一手证据。
据办案人员介绍，微信公众号“弥达斯”实际由中融汇智运营。该公司成立于2015年11月。在这起案件中，中融汇智主要是传播虚假信息。
强有力的证据回应
涉案主体辩解不成立
这一案件的焦点在于“招商银行喊国家队还钱”一文是否真实反映了招商银行副行长赵某在亚布力中国企业家2016论坛上的讲话内容。
办案人员介绍，李某作为“弥达斯”内容中心总编辑，在未经核实的情况下，对其通过网络搜索获得的相关媒体报道招商银行副行长赵某发言内容进行了主观臆测，曲解赵某发言的真实意思，撰写了包含虚假信息的《国家队：招商银行副行长喊你还钱了》一文，该文真实内容与虚假内容的混杂给投资者甄别真假造成进一步障碍，在市场敏感时期对证券市场及投资者造成误导，扰乱了证券市场，李某的上述行为违反了《证券法》第七十八条第一款有关“禁止国家工作人员、传播媒介从业人员和有关人员编造、传播虚假信息，扰乱证券市场”的规定。
中融汇智系微信公众号“弥达斯”的实际运营单位，在运营的微信公众号“弥达斯”发布带有虚假信息的《国家队：招商银行副行长喊你还钱了》一文，造成广泛传播，扰乱了证券市场。中融汇智的上述行为违反了《证券法》第七十八条第三款有关“各种传播媒介传播证券市场信息必须真实、客观，禁止误导”的规定。
当然，当事人及其代理人也提出了申辩意见：第一，李某的行为不构成编造虚假信息；第二，中融汇智的行为不构成传播虚假信息。
“涉案主体一直辨称其编写发布的文章根据公开可靠媒体报道综述而成，仅作了简单引申，不存在编造虚假信息问题。”办案人员介绍。
对此，调查组经过多方努力，联系了当事人赵某、论坛组织方、第一手新闻发布方等多方，并在网络上进行了深入搜索，取得了招商银行副行长讲话的现场视频资料、文字整理资料、第一手新闻稿、网络转载新闻等，通过对这些来自不同渠道的材料进行细致的比对分析和相互印证，了解赵某讲话的真实情况和背景，最大限度还原了事实真相，证实了《国家队：招商银行副行长喊你还钱了》一文尽管在部分内容上存在真实性的成分，但采用不符合实际的标题吸引读者眼球，其部分内容断章取义、主观臆测，刻意将赵某在论坛上对救市情况的客观陈述歪曲成不满、催促还钱等与当事人真实意思表示明显背离的内容，以强有力的证据回应了涉案主体的辩解。
严打编造传播虚假信息行为
据介绍，目前，证监会打击编造、传播证券期货虚假信息初步形成了有威慑力、持续性、常态化的执法格局。
统计数据显示，2015年以来，证监会立案稽查编造、传播虚假信息行为19件，作出行政处罚11件，移送公安机关5件，专门部署开展打击编造、传播虚假或误导性信息专项执法行动，形成有效执法威慑与遏制。
证监会相关人士表示，下一步，证监会将进一步加大对证券期货谣言的监测与线索发现力度，对严重危害市场秩序、严重影响投资者信心与预期的编造、传播虚假信息行为依法严惩，涉嫌犯罪的坚决移送公安机关追究刑事责任，并全面关注其中是否存在任何操纵市场、伪市值管理、利益输送等行为，扎实贯彻落实“依法监管、从严监管、全面监管”的工作要求。
