南京汉恩被誉为南京互联网领域的新星，曾在2014年和2016年被两家上市公司先后列为重组对象，准备巨资收购。但是在10月11日，上市公司联创光电发布公告，暂停对于南京汉恩的重组进程，10来天后，汉恩老板举家失联。目前，南京警方已经关注此事。

南京汉恩数字互联主营业务主要分为两个板块：全息多媒体数字互动展示内容制作和移动开发运营。该公司的全息展示技术据称能达到裸眼3D的效果。

据债权人告诉记者，袁帆夫妇拥有德国护照，经过他们调查，袁帆夫妇是在10月22日一大早飞往香港的，并且已在24日飞往德国，目前处于失联状态，除了袁帆夫妇和两岁的孩子，袁帆的母亲也同机离开。
另外，位于南京原白下高新技术园区的汉恩数字文化创意产业园两幢高楼尚未封顶，下一步不知如何处置，施工方被拖欠巨额工程款。
鼓楼警方：正在关注此事
现代快报记者了解到，目前不少债权人和投资者等已经向警方报案，认为袁帆夫妇涉嫌欺诈，此外相关资金是否已经汇到境外，通过什么途径也有待查清。

距离被上市公司重组终止才10来天
南京汉恩数字互联在资本市场的名气也许更响一点。最近资本市场关于该公司的消息就是：在10月10日晚间，上市公司联创光电(600363)发布公告，宣布终止资产重组事项。
对于重组终止的原因，联创光电表示是由于“近期部分行业跨界重大资产重组的监管政策趋严、受宏观经济影响南京汉恩数字互联文化股份有限公司拟调整其未来产品的发展方向、交易各方对估值及交易方案的调整未能达成一致”。
根据此前的公告，联创光电于2016年2月22日起停牌策划收购事项，拟以发行股份结合现金支付的方式收购汉恩互联。5月20日，公司发布董事会决议确定了本次交易方案为：拟发行股份及现金购买汉恩互联65%股权，价格为4.68亿，非公开发行股份的发行价格为12.75元/股。而对整个汉恩数字互联资产100%股权收益法估值达到72047.68万元。
此次重组中，袁帆、高媛、凯亚投资(袁帆夫妇控制公司)曾共同承诺，公司2016年、2017年、2018年各会计年度实现的扣除非经常性损益后的净利润不低于5500万元、6600万元和7600万元。
而在2014年，南京汉恩还成为金刚玻璃(300093)的重组对象，该年7月，金刚玻璃发布重组预案，公司拟以“定增+现金”的方式作价5.06亿元收购汉恩互联100%股权。但2015年5月12日，公司发布公告宣称，公司5月8日召开的董事会审议决定终止重大资产重组项目。

债权人陆女士跟袁帆合作多年，她坦言，没有想到袁帆会突然跑了。他们目前组建了一个三十多人的群，这个群里面，有像她一样的债权人，有投资股东，甚至还有借高利贷的，每个人或每家企业牵涉金额几乎都是千万以上。在24日确认袁帆举家出走后，当时就统计出两三个亿的欠款。
而后来，更多的窟窿显现出来，据部分债权人自行统计，总预估损失在7个亿。

是什么原因让袁帆举家失联？
从生到死，南京汉恩仅仅是因为重组失败，导致老板失联，还是因为企业本来就有问题导致重组失败？
对此，11月22日下午，现代快报记者联系了公司一位前员工孙小姐。她说，公司出事前还有130多人，她是搞技术的，拿1万多元的工资，但对公司总体状况并不清楚。公司的主营业务，是移动APP运营开发和全息展示技术，其中APP表现较好。
“在出事之前，公司一个负责翻译的小姑娘帮袁帆办过德国护照。”
据孙小姐透露，在老板失联后，公司账户上只有306万元。而员工被拖欠了两个月工资，公司账户目前被封，员工已通过劳动仲裁要求维护合法权益。
据陆女士及其他相关债权人透露，汉恩数字互联最近一年的营业总额只有1000多万。
是经营滑坡，还是另有隐情？记者查阅发现，在联创光电准备重组过程中，相关公开资料称，“未经审计的财务数据显示，截至2016年2月29日，汉恩互联总资产为3.01亿元，净资产为1.72亿元；2014、2015年度分别实现营业收入1.32亿元、1.69亿元……”
投资人丁女士说，公司之前七八年都很赚钱，但是最近两三年状况有问题，而且公司收入的一块还是帮人做融资收利息，互联网业务后期似有滑坡。
据丁女士等称，“袁帆是东南大学毕业的，上海人，1978年出生，后来到加拿大学习经营管理。回国后在上海卖电脑，认识女友，然后做数码，慢慢起步的。”
据陆女士等知情人介绍，在2010年以后，公司从南京汉恩变更为南京汉恩数字互联，参与法国卢浮宫一个虚拟展示的项目，名气也做出了一些。“公司他是实际控制人，股份却是妻子高媛占得更多。”
陆女士等称，袁帆在接触资本市场后，心态可能开始变化了，“他曾经说过，很羡慕那些成功人士，希望自己在40岁退休。”

联创光电：不清楚汉恩出事的具体情况
11月29日下午，现代快报记者联系了联创光电董秘邓方俊，他表示，知道南京汉恩出事的消息。至于公司当初决定重组以及后来放弃重组南京汉恩，他表示，放弃的原因都已经公告过了。而那之后，南京汉恩实际控制人失联，他们不清楚是什么原因。
此外，他承认，当初付给南京汉恩的1000万重组保证金还没有退还。“我们正在积极处理中，后续有消息会进行公告的。”
