  昨天,备受瞩目的《关于进一步深化上海国资促进企业发展的意见》在上海国资改革工作会议上正式公布,从国资管理、国资布局、国有企业分别确立了目标,这也标志着备受瞩目的上海国资改革迈出了实质性一步。


  昨天,备受瞩目的《关于进一步深化上海国资促进企业发展的意见》在上海国资改革工作会议上正式公布,从国资管理、国资布局、国有企业分别确立了目标,这也标志着备受瞩目的上海国资改革迈出了实质性一步。此次上海公布的国企改革共包括20条意见,涉及国企分类监管、国资流动平台搭建、股权激励扩容等细则。由于“20条”明显沿袭了三中全会改革目标的相关精神,再加上此前自贸区、试点延迟退休等试点,上海正成为中国深化体制改革的“试验田”已毋庸置疑。


  国资收益上缴比例不低于30%


  根据上海市方面的规划,完成此次国资改革的整套目标将用3至5年左右的时间。上海市已确定明年将首选1至2家国有资本运作平台公司启动实质性运作。


  对于外界普遍质疑的国资收益上缴比例过低的问题,上海市此次也提出明确目标,称国有收益原则上将按照产业调整发展、基础设施建设、民生社会保障“各三分之一安排支出”,未来将逐步提高国有资本收益上缴比例,目标是到2020年不低于30%。同时将建立起国资收益资金使用评价制度。


  董事长、总经理、党委书记不能一肩挑


  《意见》中对于国有企业的法人治理结构提出了原则性要求,要求董事长、总经理、党委书记不能“一肩挑”,其中强调了“董事长为法定代表人,原则上兼任党委书记,与总经理分设”。而对于功能型及公共服务类企业,则董事长可兼任总经理职务,但要与党委书记分设。


  根据上海“20条”的配套政策,未来上海市竞争类国企的党委书记、董事长、总经理和监事会主席由市委管理;党委副书记、纪委书记由市国资委党委管理,经理班子副职成员逐步由董事会聘任和解聘。功能类和公共服务类企业的党委书记、党委副书记、纪委书记和董事长、监事会主席、总经理及经理班子成员,原则上由市委管理。


  另外,上海市管企业管理人员实行任期制,年满60周岁的在免职的同时办理退休手续。业绩突出的董事长或总经理,因工作需要可适当延长任职年限,但最迟不超过63周岁。


  部分激励收益将成国企领导“抵押金”


  “20条”提出,符合法定条件、发展目标明确、具备再融资能力的国有控股上市公司,可实施股权激励或激励基金计划。同时将完善市管国有企业领导人薪酬体系,符合条件的竞争类企业实施股权、现金两种类型的中长期激励。国企领导人员所获部分激励收益将在正常离职后兑现,成为“抵押金”。


  与此同时,“20条”也提出建立“创新容错机制”,即将把改革创新工作纳入部门绩效考核,作为“个人职务晋升和奖励的依据之一”。同时如果因为改革创新工作而未能实现预期目标,只要符合规章制度的,将对领导人员“不做负面评价,依法免除相关责任”。
