商业机密引发的纷争

2006年6月,鸿海集团两个子公司富泰宏精密工业有限公司及鸿富锦精密工业有限公司共同向香港高等法院、深圳市中级人民法院提出诉讼,控告柳相军、司少青等人在跳槽到比亚迪后,泄露富士康的商业机密,并索赔500万元。

2007年11月6日,最高人民法院委派北京九州世初知识产权司法鉴定中心在北京为“富士康诉比亚迪恶意侵犯其商业秘密案”进行司法鉴定。在听证会上,富士康指控,比亚迪2006年手机制造的营收超过51.35亿元,较2005年的19.06亿元增长了169.3%,较2004年的9.39亿元更是增长了4倍多,这种爆发式增长极不正常,与公司的商业秘密大量流失、大量员工跳槽,在时间上是相互吻合的。

一个月后,第一批鉴定报告出炉:移动硬盘中有116份富士康文件,其中68份是非公知信息。据悉,第一批鉴定报告有7000多页、33卷,重50多公斤。但比亚迪方面坚持认为,鉴定报告及相关附录的大部分系富士康单方面呈交的,公司对此毫不知情。

2008年3月14日,富士康迎来转机,当地公安机关在调查取证后发现,案子可能涉及犯罪,需要追究刑事责任。富士康撤销对比亚迪在内地的民事诉讼,转为刑事诉讼。3月20日,比亚迪前执行董事兼副总裁夏佐全被拘留。

24日、31日,司少青和柳相军先后被判处1年零4个月和4年有期徒刑。出乎意料的是,比亚迪发布公告称,夏佐全在拘留后的第4天因证据不足被释放,而另外两名获刑员工,在定罪前已与公司解除劳动关系,属于个人犯罪,与比亚迪无关。

两个男人的战争

郭台铭,1950年出生,自幼家境贫寒。作为家中的长子,他靠半工半读结束了在一所海员学校的课程后,于1973年出资10万元新台币,跟朋友在台北县成立鸿海塑料企业有限公司。因经营不善,几个月后,原有股东抽身而出,鸿海成了郭台铭一个人的企业。

熟悉郭台铭的人都承认他是一个商业天才,感叹其超强的市场敏感度和顽强的毅力非一般人所能比拟。据悉,为了开拓美国市场,郭台铭曾在雨中苦等客户4个小时;为了跟大厂商做生意,他曾住12美元一天的汽车旅馆,足迹踏遍美国32个州……他对客户看得最重,“四流人才、三流管理、二流设备、一流客户”。

不过,郭台铭人性中的弱点也比较明显。和他共事过的一些台湾业界人士评价他“专断、高傲、独裁、摒弃民主……”而作为一家“家长制”企业,富士康的企业文化也打上了太多郭台铭的烙印,大小决策都得由他一手拍板。

富士康几乎所有中高层都来自台湾,这种不平等的文化,也激起了内地员工们的反感。据悉,从台湾派来内地的4000名高管,他们的工资相当于5万名内地员工的工资总和。

和郭台铭一样,王传福的出身环境也不好。王1966年生于安徽无为县的一个小山村里,父母早逝,他靠姐姐跟哥哥的接济,才艰难地完成中南大学物理化学专业的学业。创办比亚迪前,他曾是中国有色金属研究总院高级工程师,当他看到当时作为款爷标志的大哥大手机一部就要卖3万多元时,王传福认定手机充电电池大有可为,于是用借来的250万元资金在1995年创建了比亚迪。

但唯一不同的是,王传福在同事和员工眼里很随和,他中规中矩的大分头让人觉得很亲切。不过,这并不妨碍王传福在公司树立威信,他不按常理出牌,带领比亚迪一次次从竞争对手口中上演虎口夺食。

还让人感觉王传福与郭台铭不一样的是,前者深知成大事者不拘小节。在富士康,员工地位不高,出差后要报销相关费用,必须把每笔支出交代得一清二楚,而公司高层花钱却大手大脚,无人过问。而在比亚迪,高管和员工一样,出差一律都坐经济舱,尽量避免不必要的活动及会议。在对待员工上,王传福也不像郭那样苛刻。

正因为王传福敢于蔑视商业模式和游戏规则,认为创新来自于整合,这种思维解放了比亚迪的思想,并从竞争激烈的市场中杀出一条血路,创造了常人不敢想的奇迹。王习惯埋头做事,不喜张扬。即使两家公司的官司闹得满城风雨,他自身的曝光度并不高。不知不觉中,这位郭台铭曾经不入法眼的人,正在对富士康完成颠覆。

现在,轮到王传福开始漠视富士康,他认为自己的公司在技术上强过对方,富士康仅是一个模具加一个手机整机代工,而比亚迪有电池、汽车,涉及到众多核心技术。他甚至幻想,2025年,比亚迪汽车要做到世界第一。
