　　2017年1月18日，年关将近，法治周末记者来到晋能集团忻州煤炭运销公司（以下简称忻州煤运）做追踪采访，虽然只是微风拂面，仍然感觉透骨的冷，首先进入记者视野的，是几名手拉维权横幅站在忻州煤运办公大楼台阶下的人。

　　这座气势宏伟的大楼，忻州煤运搬进去办公不足一年，建筑面积3万多平方米，耗资1.3亿元以上，但忻州煤运的高管很忌讳“办公”二字，他们喜欢称作“综合楼”。

　　“负债180亿元，其中仅银行贷款就高达70亿元。”还有，十八大后，中央三令五申“不得以任何形式和理由新建楼堂馆所”，然而，窘迫的企业状况和中央禁令都无法阻当忻州煤运“综合楼”的建成，并且还存在未批先建和招投标程序涉嫌造假等问题。

　　记者做追踪采访时，晋能集团一位干部表示，不要只盯着“大楼”这种明面的问题，（忻州煤运）有比这还严重的问题。

　　不甚明朗的“处分”

　　2016年10月9日，针对本报《忻州煤运斥资过亿建大楼》一文，忻州煤运通过当地媒体作出回应，称《“斥巨资建大楼”系危楼改造》，该回应通过一些网站转发。

　　在回应中，忻州煤运表示，该大楼系危楼改造工程，列入山西省中国国家发展改革委员会、晋能集团房地产综合楼开发项目，投资来源为自筹资金。“原办公区建于上世纪80年代中期，设计为砖混结构，预应力空心楼板，年久失修，不符合国家现行10级抗震规范要求，经鉴定为危楼。”

　　然而，就忻州煤运建楼的相关问题，法治周末记者曾两次到忻州煤运采访，时任经理陈学志及其他人员从未说过是“危楼改造”。

　　“回应”不顾法治周末记者已经掌握并报道的事实，为了规避“未经招投标先开工”的质疑，硬是将开工时间“2013年6月6日”改为“2013年12月10日”，创造出冰天雪地“破土动工”的奇迹。

　　通过“回应”，记者看到“忻州煤运总资产213.17亿元，负债率84.71%”，以此计算，总负债应为180亿元。

　　法治周末对忻州煤运斥巨资建大楼曝光后，引起国内各大新闻网站的广泛转载，不久，记者从忻州市纪委得知，纪检部门已介入调查。

　　2016年11月29日，法治周末记者从忻州煤运一位中层干部口中得知：“刚刚开过会，因为建楼问题，陈学志受到行政记大过处分，被免去经理职务，新经理已经到任。”

　　为了证实这位干部的说法，记者曾两次赴晋能集团，集团宣传部工作人员只知道陈学志被免职，认为是正常的人事安排，对“处分”之事一无所知，在记者的要求下，宣传部长翟安发拨通了集团纪委的电话，得知对陈学志确实有一个“党内警告”，但处分决定的内容不清楚，主管人员不在。

　　在忻州煤运，宣传科长艾引华也不清楚陈学志免职原因和是否受到处分，表示没有听说，或许未传达到这个层面。

　　晋能集团一位不愿透露姓名的干部告诉记者，忻州煤运的问题很多，不要只盯着办公楼这件明面的事，暗中的问题更多，经常有人告状。

　　而一位熟知陈学志的人士向记者表示，虽说免职，但能平稳落地对他来说已是好事。

　　扑朔迷离的1.6亿元管理费

　　“不管经营状况如何，忻州煤运热衷于上项目搞投资，且不惜违规违法，具有很大的盲目性和风险，管理也比较混乱。”

　　这是2016年记者在忻州采访时，忻州煤运一位中层管理人员的倾诉。他表示，除了顶风而上的“综合楼”，还有偏关县“大阳湾煤炭物流园”和宁武县“明业煤矿”等项目，投入十多亿元，现在全“趴”在那里。真是“崽卖爷田不心疼”。

　　明业煤矿的全称为山西煤炭运销集团明业煤矿有限公司，地处宁武县国家AAAA级景区芦芽山风景区。2011年5月，山西省煤炭工业厅批准由忻州煤运兼并整合，2016年记者曾两次到明业煤矿采访，看到的景象是：数栋主体已经完工的楼房突兀地矗立在荒野中，整个矿区死寂一片。

　　“现在已经投入9.7亿元，其中收购矿井费用3.6亿元，地面和地下建设分别投入两亿元左右，还有1.6亿元的管理费用，5000万元的资源价款，因为资金链断裂，2015年年初就全面停下来了。”留守人员、副总工程师张锋告诉记者，煤矿仍未完成主体建设，尚需资金两亿多元。

　　张锋表示，工程是2011年开始动工，从2013年开始便干干停停，最后彻底停了。

　　陈学志将此归咎于“煤炭市场不景气，加上国家去产能的政策，很难贷到款，再加上之前的贷款到期之后，新增贷款银行不再支持”。

　　他说：“谁知道从2012年后半年到现在，经济压力这么大？如果知道的话，所有企业都不会去收购煤矿。”

　　但在忻州煤运一位管理人员看来，明业煤矿之所以造成现在这种状况，更多的原因是盲目投资和管理混乱，煤矿建设要按照先生产系统后生活系统的基建顺序，以能开工生产为第一要务，地面生活办公区还有一些老房子可以用，这样会节省一大笔资金。

　　针对“1.6亿元的管理费用”，张锋称，这主要包括职工工资和其他一些杂事，但具体也说不清楚了，明业煤矿原有职工170人，后来只剩下60多人。“养活不了家，都自谋生路去了。”

　　“管理费用的第一大项为工资和福利，只有员工100人左右，4年却支付管理费用1.6亿元，令人无法想象。”那位忻州煤运的管理人员说。

　　据知情人向记者披露，明业煤矿想重新建起来困难重重，资金不足是一方面，更重要的原因在于煤矿建在景区内，且根本就没通过正规手续，曾经被宁武县煤炭管理部门上报关停。

　　对此，陈学志承认，没有正规的环评手续，都是开的“路条”，“（省环保厅）同意（明业煤矿）建设，以后逐步办理（环评手续）”。

　　记者在明业煤矿看到的所谓“路条”——《山西省环境保护厅关于明业煤矿环境保护意见》。该《意见》显示，兼并重组后的明业煤矿井田面积7.573平方公里，其中7.5平方公里位于芦芽山国家级自然保护区内，“你公司应按规定经批准同意后实施该项目”，“并且取得自然保护区、森林公园行政主管部门的同意”。文件中，省环保厅并没有明确明业煤矿可以先建设后补办环评手续。

　　根据环境保护法，未依法进行环境影响评价的建设项目，不得开工建设。对于拒不执行的，除依照有关法律法规规定予以处罚外，由相关部门将案件转移至公安机关，对其直接负责的主管人员和其他直接责任人员拘留5日至15日不等。

　　明知在景区范围内不可能通过环评，为什么还投入巨资兼并建设煤矿？对于这个问题，陈学志解释说，明业煤矿处于景区的边缘，里面还有六七个矿，正规环评手续都没有，都是开的“路条”，国家对景区5年一调整，争取近期把明业煤矿从景区的范围调整出来。

　　“更要命的是，采矿证一旦到期就无法继续开采。”据张锋介绍，明业煤矿自2011年6月开建，工期27个月。由于资金跟不上，工程一再延期，最后一次延期是2015年11月，延续到2016年12月27就到期。“采矿证一到期就彻底完了（无法建设和开采）。”

　　2017年1月18日，时隔数月，记者在忻州煤运采访时再次提到明业煤矿的环评问题以及这个投资10亿元的煤矿何时能够继续开工建设等若干问题，忻州煤运宣传科长艾引华表示，要请示领导后答复，但事后经记者电话多次催问，忻州煤运始终不予回应。
